STV INVEST’s Equity Investment in Promet Tools Is Complete, Tatra Trucks Has a New Co-Owner
The STV INVEST Group has finalized all formalities and acquired a 50% equity stake in Promet Tools from the Promet Group. It thus becomes the company’s second shareholder. Promet Tools holds a 35% stake in Tatra Trucks, and STV INVEST—one of the key players in the Czech defense industry—is now, through this company, another co-owner of the legendary Czech vehicle manufacturer. The transaction was finalized after the European Commission approved the sale of the stake. The goal of both partners—Promet Group and STV INVEST—is the stable development of the Kopřivnice-based automaker.
In connection with the transaction, Promet Group and STV INVEST are issuing this joint statement:
We are pleased that the European Commission has approved the sale of the stake in Promet Tools to the STV INVEST group, which has enabled us to complete the entire transaction. After a thorough investigation lasting more than a year into all key circumstances, the Commission concluded that the transaction does not raise competition concerns. In its assessment, the Commission proceeded in great detail and conducted an extensive inquiry involving all relevant parties.
The Promet Group and STV INVEST now jointly hold a significant 35% stake in Tatra Trucks through Promet Tools.
We are now set to begin negotiations with the CSG Group regarding the future operations of the automaker under this new shareholder structure. We consider reaching an agreement among all shareholders that will benefit Tatra to be our current priority.
With this decision, Tatra gains another financially strong partner from the defense industry, which opens up new opportunities for its further development. STV INVEST is a Czech family-owned group with a long-term investment horizon. Our shared goal is for Tatra to remain a stable employer, develop cooperation with suppliers in the region, and create added value in Kopřivnice as well as for the Czech Republic.
Denisa Materová, CEO of Promet Group
Martin Drda, Co-owner and Chairman of the Board of Directors of STV INVEST
Both parties have decided not to comment on the specific details of the transaction, including its price.
Summary of STV INVEST’s Entry as a Shareholder in Tatra Trucks
In April 2025, the engineering group Promet Group and the STV INVEST group announced the conclusion of an agreement under which STV INVEST is to acquire a 50% stake in Promet Tools, which holds 35% of the shares in Tatra Trucks. The transaction was contractually agreed upon by both parties. However, before it could be carried out, it had to be approved by the competition authority. Based on a request from the Promet Group, the European Commission thus launched a detailed pre-notification process last July, during which it repeatedly consulted all relevant parties, including the management of Tatra Trucks and CSG. This was followed by the notification process, which resulted in the European Commission’s final approval of the transaction. Approval by the European Commission—the highest authority in this matter—means that the Czech Office for the Protection of Competition will no longer be involved in the transaction.
