Promet Group comments on the course of the TATRA TRUCKS general meeting

At today's Tatra Trucks general meeting, Promet Group expressed its interest in supporting the necessary investments if it receives the overall investment strategy. Due to the current lack of documentation, it did not approve the proposal to increase the share capital by CZK 2.7 billion.

Kopřivnice, July 18, 2025 – Today's Tatra Trucks general meeting did not ultimately address the overall investment strategy worth seven billion crowns that was presented by Tatra's management a month ago. The meeting focused primarily on increasing the share capital by CZK 2.7 billion. The investments discussed amounted to only CZK 1 billion. In this situation, the Promet Group rejected the proposal to increase the share capital due to a lack of supporting documentation. However, it proposed to increase the share capital by the necessary investments of CZK 100 million. Surprisingly, this proposal was not accepted. An agreement between the two main shareholders on further steps in Tatra's strategy and investments could now be reached at a meeting between Denisa Materová and Michal Strnad.

"Unfortunately, even today, the management of Tatra Trucks did not present us with a complete long-term strategy for the company that would justify the request for CZK 2.7 billion to increase the share capital. From our perspective as a responsible shareholder, the management of Tatra gave us no other option but to not support the increase in share capital to this extent at this time. What we wanted to support and proposed to the general meeting for approval were investments and a possible necessary increase in share capital for the implementation of a critical investment worth CZK 100 million," said Denisa Materová about the course of the general meeting.

"However, this does not mean that Promet Group will not support selected investments in the future if they are well presented in the context of the company's overall strategy," added Denisa Materová.

Even before today's general meeting, the Promet Group pointed out that the documentation for the investment plan of Tatra Trucks' management, which the management received only a month before the meeting by delivery to its data box, did not contain the basic information that such projects normally have. "To date, we have not seen an analysis of the market environment and individual market segments, a development strategy and concept, a detailed profit and loss statement, a balance sheet, or cash flow. Neither I nor the experts on similar investments who have reviewed the documents understand the absence of these documents," said Denisa Materová.

Joint meeting of shareholders on the further development of Tatra

Promet Group is aware of the need for investment in Tatra's development and will always support relevant proposals. "We have been doing this since 2013, when we became co-owners of Tatra and, thanks to the right and effective investments, saved Tatra and made it a successful company again. We want to continue this trend and build on the long-term successful cooperation between the Mater and Strnad families," adds Denisa Materová.

She believes in the success of a personal meeting between her and Michal Strnad, the owner of CSG. "We both care about the good of Tatra, its employees, and the region with which it has been associated for more than a hundred years. I believe that we will be able to find agreement on the next steps regarding strategy and investments. We will also have our own proposal for resolving the situation ready for the meeting," adds Denisa Materová.
